Terms of Service

1. Acceptance of Terms

By accessing or using AdminStack™ ("the Service"), operated by CW Affiliate Investments LLC ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or in-app notification.

2. Description of Service

AdminStack™ is a multi-tenant SaaS administration platform that provides project management, client portals, invoicing, credential management, product management, order tracking, email marketing, and related business tools for freelancers, agencies, and small businesses.

3. Account Registration

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

You must be at least 18 years of age to create an account. By registering, you represent that you meet this age requirement. One person or legal entity may not maintain more than one free account.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations in your jurisdiction
• Upload or transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to send unsolicited bulk email or spam
• Resell, sublicense, or redistribute the Service without written permission
• Scrape, crawl, or use automated means to access the Service beyond normal API usage
• Store or transmit content that infringes on the intellectual property rights of others

Violation of these terms may result in immediate suspension or termination of your account without prior notice.

5. Payment Terms

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are quoted in US dollars unless otherwise stated.

• Payments are processed securely through Stripe. We do not store your full payment card details.
• Subscriptions automatically renew at the end of each billing period unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• No refunds are provided for partial billing periods, except where required by law.
• We reserve the right to change pricing with 30 days' advance notice to existing subscribers.
• Past-due accounts may have features restricted until payment is resolved.

6. Your Data

You retain all rights to the data you upload or create through the Service ("Your Data"). You grant us a limited license to host, store, process, and display Your Data solely for the purpose of providing the Service to you. We will not sell, share, or use Your Data for purposes unrelated to operating the Service.

You are responsible for maintaining backups of Your Data. While we implement reasonable measures to protect your data, we are not liable for data loss beyond what is described in our Service Level commitments.

7. Intellectual Property

The Service, including its design, code, branding, logos, and documentation, is the property of CW Affiliate Investments LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

8. Termination

Either party may terminate this agreement at any time. You may delete your account through the account settings page or by contacting support. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after termination to allow for export, after which it may be permanently deleted. Provisions that by their nature should survive termination (including limitation of liability and governing law) will remain in effect.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CW AFFILIATE INVESTMENTS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify and hold harmless CW Affiliate Investments LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Wisconsin. You consent to the personal jurisdiction of such courts.
